Terms and conditions

1. Preface

These terms and conditions are applicable for the use of the Remootio websites, products, and related software operated by Assemblabs Ltd. and its affiliates. The terms and conditions are subject to change without prior notice.

2. Definitions

App: The Remootio mobile application for the use of the Product and the Product Portfolio available for iOS and Android.
Assemblabs: Assemblabs Ltd.
Product: The hardware products purchasable from the Remootio website or from any of its distributors or partners, the accompanying software and related data, the mobile app, and the related online infrastructure.
Site: The website www.remootio.com or any other domain names that display the same or similar content to it.
User: Any natural person or legal entity accessing the Website or causing the Website to be accessed

3. Copyrights / Trademark

This Site, including but not limited to design, text, drawings, software, graphics, configurations, and other materials (referred to as "Content") are copyrighted. The Content may not be copied, distributed, modified, framed, republished, reproduced, downloaded, displayed, transmitted, posted, or sold by any means or in any form, in whole or in part, without the written permission of Assemblabs, except that you may download and print Content for uses that are not derogatory to or competitive with Assemblabs and its Service Providers or Affiliates or Business Partners provided that you keep all copyright or other proprietary material in tact and that you do not transfer any Content to any other person unless you give them notice of, and they agree to accept, the obligations arising under these Terms and Conditions. Any other use of the Content is strictly prohibited. Remootio is a registered trademark of Assemblabs. Any other trademarks, registered trademarks, product names or logos, and company names or logos displayed on the Site are the property of their respective owners.

4. Software

Any software, and app, including the App, also including any files, images generated by the software, code and data accompanying the software (collectively, "Software"), used or accessible through the Site may be used by you solely for accessing and using the Site for purposes expressly stated on the Site, provided that such uses are not competitive with the Remootio Product or derogatory to the Product or Assemblabs, its Affiliates, Business Partners and Service Providers. Remootio, its Affiliates, Business Partners and Service Providers retain full and complete title to all intellectual property rights they may own in the Product. You agree not to copy, distribute, sell, modify, decompile, reverse engineer, disassemble or create derivative works from any Software or the Product.

5. Contracts, offers

By placing an order you submit an offer to Assemblabs, which Assemblabs may or may not accept. Once Assemblabs accepts the offer a contract is established. The contracts are executed when Remootio confirms your order and or delivers the product or service to you. Assemblabs has the right to decline an offer without any further explanation. The products and services related to the Product advertised by Assemblabs in any manner are not binding offers, their purpose is to encourage users to make an offer to Assemblabs by placing their order. Promotions by Assemblabs to encourage customers to make offers to Assemblabs are subject to change at any time.

6. Scope of services

Product portfolio

The product portfolio may be amended, adapted or updated any time and from time to time. The current product portfolio includes but is not limited to:

Remootio device: Smart gate and garage door controller hardware
Sensor: A contact sensor that, when connected to the Remootio device, can enable it to determine whether the gate or garage door is open or closed
Power adapter: Used to provide power supply to the Remootio device
Remootio Software: The Remootio Software (as defined in 4.) includes our Apps, web-based software and interfaces to third party services or systems

The product portfolio may also contain items that are combinations of the above mentioned products.

Other Services

Our Newsletter may provide information about the latest Product Portfolio to subscribers. Users can unsubscribe the Newsletter any time. Unsubscribing can be done by the „opting-out“ option in every mail accompanying our Newsletter or by a written request to support@remootio.com.

Additional clauses

If it becomes impossible for Assemblabs to provision the services, subscribed users will be notified and it will be indicated on the website or App release notes.

Assemblabs can refuse services or offers or contract executions if deemed impossibled due to circumstances attributable to the User. The related incurring expenses for Assemblabs shall be reimbursed by the User.

If Assemblabs cannot deliver the ordered products or services by any estimated or target date given by Assemblabs, Assemblabs may choose to cancel the order and refund any money paid by the User

Assemblabs reserves the right and is is entitled to remove, modify, or change services and features of the Product, App, and Site and functionalities related to them without prior notification. Users are not entitled to claim any specific scope of functionalities of the Product, App and Site. Assemblabs is not obligated to offer specific scope of functionalities, but shall at any time be entitled to remove those from the Product, App, Site. Such decisions shall be at the sole discretion of Assemblabs.

7. Liability

Under no circumstances including, without limitation, negligience, shall Assemblabs, nor its Affiliates, Service Providers, Business Partners, vendors, suppliers, employees, agents, be liable for any damages, including without limitation, direct, indirect, consequential, special, punitive, incidental, or other damages (including without limitation lost revenues, lost profits, lost data), whether in contract, tort, or otherwise, arising out of the use, or discontinuement of sale of products, or inability to use the materials available in the Site or any linked site, or the App, or the Remootio Product and the related software, even if we are advised of the possibility of such damages, nor for any claim by a third party. Assemblabs shall not be obligated to offer its services and products permanently or to make further improvements or developments to them.

8. Additional clauses

The User may not transfer the agreement and assign the rights and or delegate the obligations under these terms and conditions without obtaining a written approval from Assemblabs.

The User may not modify the content or scope of this agreement without the written approval of Assemblabs.

This agreement is governed by the Hungarian laws

The parties hereby agree that these Terms and Conditions shall be governed by and construed in accordance with the laws of Hungary to the extent permitted by law. The parties also agree that the exclusive jurisdiction venue for all disputes resulting out of these Terms and Conditions shall be the court located in Budapest.

9. Disclaimers

Third party liability limitation

The Site may from time to time contain material, data or information provided, offered or posted by third parties. You agree that neither Assemblabs nor its Affiliates, Business Partners or Service Provider shall have any liability whatsoever to you for any such third party material, information or data. You also understand that Assemblabs is not responsible for the products and services sold by Third parties even if we provide you with links or information of the web sites of these thrid parties that sell Assemblabs products. Third parties include the App Store, the Google play store, Amazon alexa, other smart home hub providers, dealers, distributors or installers. You hereby release Assemblabs and its Affiliates from any past, present and future claims, liabilities, and damages, external risks, both known and unknown, arising out of or in connection with any services or products provided by any third party identified in our Site or other related websites.

Materials provided

The materials made available in this site including materials in linked sites directly or indirectly accessible from this site, or any of the related Software (The "Materials") may contain inaccuracies and typographical errors. The Materials are provided "as is" without warranties of any kind, either implied or express, including but not limited to all implied warranties of merchantability, fitness for a title, particular purpose, or non-infringement. We do not warrant that the materials will be free of errors, nor free of viruses, defamatory, offensive, or other harmful matter. This site or the related may also include publications with technical inaccuracies or typographical errors.

Updating the website

In addition, Assemblabs or its suppliers, Affiliates, or Business partners may make improvements and/or changes to the provided products and services at any time. Assemblabs has no responsibility to update the Site or any content related to it and cannot be held liable for not doing so.
